1. Introduction
Welcome to Pura Media FZCO, a digital marketing agency specializing in Pay-Per-Click (PPC) advertising, Google Ads management, and other online marketing services. By engaging our services, you agree to abide by the following terms and conditions. If you do not agree with these terms, please refrain from using our services.
2. Definitions"Client"
refers to any individual or company that engages Pura Media FZCO for services.
"Services" refers to any digital marketing services provided by Pura Media FZCO, including but not limited to PPC campaigns, Google Ads management, and digital strategy consulting.
3. Services
Pura Media FZCO agrees to provide digital marketing services as outlined in the scope of work and proposals provided to the Client. The Client acknowledges that the effectiveness of marketing services depends on various factors, including market conditions, competition, and product/service quality, which are beyond the control of Pura Media FZCO.
4. Payment TermsFees:
All fees for services are outlined in the proposal or service agreement provided to the Client.
Payment Schedule:
Payments are due as per the payment schedule agreed upon in the contract. Any delays in payment may result in the suspension of services.
Refund Policy:
All services provided are non-refundable. Results are not guaranteed, and no refunds will be provided once services are initiated.
Late Payments:
Late payments are subject to a [5%] late fee for every [30 days] past due.
5. Ad Spend
The Client agrees to pay all media spend to Pura Media FZCO directly. Pura Media FZCO will manage the disbursement of funds to the respective advertising platforms (e.g., Google, Facebook). All fees are exclusive of taxes and payment processing fees (e.g., 2.9% payment processing fee for international/ online payments). Failure to pay the agreed-upon ad spend on time may result in suspension of services and the termination of campaigns.
6. Special Offer: One Month Free Google Ads Management
Pura Media FZCO offers a promotional one-month free Google Ads management service, subject to the following conditions: The Client must agree to a minimum six-month contract for Google Ads management services. The free month applies only to the management fee; the Client is still responsible for paying the full ad spend during the first month. The free month will be applied in the first month of service. If the Client terminates the contract before the completion of the six-month term, the free month will become chargeable at the regular rate. This offer is only available for new clients and cannot be combined with other discounts or promotions.
7. Client ResponsibilitiesCooperation:
The Client agrees to provide Pura Media FZCO with the necessary access, approvals, and information required to execute the services.
Accuracy of Information:
The Client warrants that all information provided is accurate, complete, and truthful.
Compliance with Laws:
The Client is responsible for ensuring that their business and any marketing material provided comply with applicable laws, including but not limited to data privacy laws, advertising standards, and consumer protection laws.
8. Google Partner Status
Pura Media FZCO is proud to be an official Google Partner, recognized for our expertise in managing Google Ads campaigns. As part of our ongoing commitment to maintaining high standards and optimizing client performance, we may receive certain benefits, credits, or other incentives from Google related to client ad spend. These benefits are utilized to further enhance the services we provide, contributing to the overall success of our clients’ campaigns, while remaining in line with industry best practices.
9. Performance and Results
Pura Media FZCO will use its expertise to manage and optimize digital marketing campaigns. However, the Client understands and agrees that results (including leads, sales, and clicks) cannot be guaranteed due to external factors beyond Pura Media FZCO's control, such as market conditions, platform changes, and competition.
10. TerminationTermination by Client:
The Client may terminate the agreement by providing [30 days] written notice. Any services rendered up to the termination date will be charged accordingly.
Termination by Pura Media FZCO:
Pura Media FZCO reserves the right to terminate the contract at any time if the Client breaches the terms and conditions or fails to meet payment obligations.
Post-Termination Obligations:
Upon termination, Pura Media FZCO will cease all services. Any outstanding payments will be due immediately.
11. Confidentiality
Both parties agree to keep confidential any proprietary information or trade secrets shared during the term of the agreement. This includes, but is not limited to, campaign data, strategies, and financial information.
12. Intellectual Property
Pura Media FZCO retains ownership of any intellectual property developed during the course of the service, including marketing strategies, templates, and campaign structures unless explicitly transferred in writing to the Client.
13. Limitation of Liability
Pura Media FZCO will not be liable for any indirect, incidental, or consequential damages, including lost profits, arising from the services provided. In no event shall Pura Media FZCO's total liability exceed the fees paid by the Client in the 12 months preceding the claim.
14. Changes to Terms and Conditions
Pura Media FZCO reserves the right to update or change these terms and conditions at any time. Clients will be notified of any significant changes.
15. Governing Law
These terms and conditions are governed by the laws of the United Arab Emirates. Any disputes arising from these terms will be subject to the exclusive jurisdiction of the courts of the UAE.
